BACKGROUND/RELATED STRATEGIC GOAL:

Section 255.065(3)(c), Florida Statutes provides a process for evaluating unsolicited Public-Private Partnership proposals.

On October 31, 2025, Building Tomorrow’s Schools, Inc., a Florida-based nonprofit organization, submitted an unsolicited proposal to Martin County to design, construct, and convey a Maintenance and Operations Facility through a Public-Private Partnership delivery model.

The Board of County Commissioners conducted the first public meeting on December 2, 2025, which provided the Board and the public an opportunity to comment on the proposal. At that meeting, the Board authorized staff to proceed with a detailed evaluation of the proposal.

The second public meeting was held on February 24, 2026, at which time staff and the County’s professional consultants presented the evaluation findings addressing the statutory criteria outlined in Section 255.065(3)(c), Florida Statutes. Following presentation of the evaluation and receipt of public comment, the Board adopted a Resolution affirming that the proposal served the public interest and authorized staff to negotiate a Comprehensive Agreement with the proposer.

Following Board direction, County staff worked with the County Attorney’s Office and the County’s financial and technical consultants to negotiate a Comprehensive Agreement with Building Tomorrow’s Schools, Inc.

The proposed project includes the design and construction of an approximately 118,000-square-foot Maintenance and Operations Facility that will consolidate multiple County departments currently located at several sites, including facilities on airport property, into a centrally located operations complex. The project supports the County’s Capital Improvement Plan, improves operational efficiency, and advances long-term facilities planning objectives.

The negotiated Comprehensive Agreement establishes the responsibilities of the parties, project scope, schedule, financing structure, performance requirements, risk allocation, and the conveyance of the completed facility to Martin County.  In addition, the Agreement has adequate safeguards in place to ensure the additional costs or service disruptions are not imposed on the public in the event of a material default or cancellation of the Agreement.  Finally, the Comprehensive Agreement has adequate safeguards in place to ensure that the County has the opportunity to add capacity to the proposed project.

This item brings the negotiated Comprehensive Agreement forward for Board consideration.

The Comprehensive Agreement and all necessary bond documents will be provided by Supplemental Memorandum.

ISSUES:

The Comprehensive Agreement reflects the terms negotiated between Martin County and Building Tomorrow’s Schools, Inc. following the Board’s public interest determination and authorization to proceed with negotiations.

Approval of the Comprehensive Agreement would authorize the County to proceed with the Public-Private Partnership delivery of the Martin County Operations Facility in accordance with the negotiated terms.

The project also supports the County’s obligations under the Federal Aviation Administration approved Voluntary Corrective Action Plan (VCAP) associated with the Martin County Airport. The VCAP requires the County to remove certain non-aeronautical uses from airport property, including County operational facilities currently located on the airport campus. Development of the new Operations Facility will allow the County to relocate these functions from airport property to other County-owned land, consistent with the commitments made to the FAA and the County’s long-term airport compliance strategy.

Construction of the new Operations Facility therefore advances both the County’s operational objectives and its regulatory obligations related to airport land use, while consolidating multiple departments into a modern, centrally located facility that improves coordination, efficiency, and long-term facilities planning.
