BACKGROUND/RELATED STRATEGIC GOAL:

 

On November 2, 2023, the County purchased a 6.09-acre parcel in Old Palm City pursuant to Resolution No. 23-10.4, in the amount of $4,028,000 (inclusive of closing costs) with funds from General Fund Restricted Reserves. 

 

In March 2024, the Board authorized a Budget Transfer of $800,000 from stormwater and road infrastructure funds for the maintenance of Danforth Creek, utilizing a portion of the County-owned property located west of SW Newberry Court. The District 5 MSTU provided a down payment of $250,000 towards the repayment of the property.  The remaining principal balance owed to the General Fund is $2,978,000.  An interfund loan resolution was established to repay the General Fund Restricted Reserves over a period of five years at zero percent (0%) interest.  

 

On January 28, 2025, the Board approved a Preliminary Request for Proposal (RFP) to designate as surplus the County-owned parcel located in Palm City at the corner of SW Martin Highway and SW Palm City School Avenue, for sale and redevelopment pursuant to the CRA land development regulations for Old Palm City. 

 

RFP2025-3653: Old Palm City County Property, was publicly advertised on February 6, 2025, in the Stuart News (TC Palm), on a third-party bidding platform, DemandStar, and on the County’s official website under the “Hot Topics” section.  The deadline for proposal submission was March 19, 2025.  One proposal was received; however, it was deemed “non-responsive” as it did not fully comply with the solicitation requirements due to missing information. 

 

As a result, the solicitation was reissued as RFP2025-3672: Old Palm City County Property (Re-bid) and was advertised on April 4, 2025, in the Stuart News, on DemandStar, and on the County’s website.  A non-mandatory pre-proposal meeting was conducted on April 21, 2025, and was attended by one proposer via Zoom.  The proposal deadline was May 7, 2025, and one proposal was received.  The proposal is included as an attachment to this agenda item. 

 

Pursuant to Section 17.1.E of the Martin County Purchasing Manual:

 

“In the event only one responsive submittal is received, or the submittals received are over the County’s budget for the project, the County reserves the right to award to the sole responsive vendor, negotiate with the sole responsive vendor, re-advertise the solicitation, with or without making changes to the evaluation factors, or elect not to proceed.”

 

Given that only one responsive proposal was received, the selection committee process was canceled.  County staff, including representatives from the Public Works Department, Office of Community Development, Administration/Purchasing Division, Office of Management and Budget, and the County Attorney’s Office, met internally to evaluate the proposal and determined that the conceptual submission met the minimum requirements set forth in the solicitation.  Accordingly, the proposal was deemed eligible to advance to the next phase of the process.

 

Staff is recommending acceptance of the proposal from Medalist Building Group, LLC (Proposer), in the amount of $3,200,000, with the explicit understanding that while the submitted conceptual development plan meets the minimum criteria required under the RFP, this is not an approval of the proposed development for the property.  The Proposer still will be required to submit all required applications, pay all applicable fees, and proceed through the customary development review process to obtain final site plan approval, all in accordance with Martin County regulations.  

 

Upon the Board’s finding that acceptance of the proposal is in the public interest, notification to accept the proposal will be filed with the Board of County Commissioners 30 days prior to acceptance.  Upon the expiration of the 30 days, the parties will then enter into a Purchase and Sale Contract (example attached to this item) for the subject property.  Upon execution of the contract, the Proposer will be permitted to access the property to conduct its due diligence investigations in accordance with the terms of the contract.  Closing is expected to occur within 90-days after execution of the contract.  

 

Upon closing of the property, proceeds from the sale will nullify the requirement of the interfund load.  The General Fund Restricted Reserves will be replenished in the amount of $2,978,000 and the balance of the sale proceeds ($222,000) will revert back to District 5 MSTU.

RECOMMENDED ACTION:

 

RECOMMENDATION

Move that the Board:

a)                     deem the proposal to be in the public interest and accept the Medalist Building Group, LLC’s Proposal in response to RFP2025-3672: Old Palm City County Property (Re-bid); and

b)                     adopt a Budget Resolution recognizing the proceeds of the sale into the FY25 Budget; and

c)                     authorize the County Administrator or designee to execute all documents related to this request, including, but not limited to, a special warranty deed and other closing documents.
